These Terms of Use (“Terms”) govern your access to and use of the Orchard Literacy website, digital downloads, freebies, emails, resources, and related services. By visiting the website, creating an account, downloading a free resource, or purchasing a product, you agree to these Terms and our Privacy Policy.
If you are using Orchard Literacy on behalf of a school, district, tutoring company, business, or other organization, you represent that you have authority to accept these Terms for that organization.
1. Adult Use and Accounts
The website is intended for adults. You must be able to enter into a legally binding agreement to purchase or download resources. You are responsible for maintaining the confidentiality of your account login, download links, and purchase information, and for activity under your account.
2. Digital Products and Delivery
Orchard Literacy sells and distributes printable structured literacy and phonics resources, primarily as digital downloads. After purchase, download links may be delivered by email, account page, checkout confirmation, or another digital delivery method.
You are responsible for using a working email address, checking spam or promotions folders, downloading files promptly, and maintaining your own backup copies. If a file is inaccessible because of a technical issue on our side, contact us through the Contact page.
3. License to Use Purchased and Free Resources
Unless a product page or written license says otherwise, Orchard Literacy grants the purchaser a limited, revocable, non-exclusive, non-transferable license to use the resource for the purchaser’s own instructional use.
Allowed uses
- Print or copy pages for your own classroom, homeschool household, tutoring caseload, intervention group, or direct learners.
- Use the resources in live teaching, tutoring, homeschool lessons, intervention sessions, or small-group instruction.
- Post pages inside a password-protected classroom LMS or secure parent/student portal only for your own assigned learners.
- Save a working copy for your own planning, backup, and instructional use.
Uses that need a separate license
- School-wide, district-wide, tutoring-center-wide, team, department, or multi-teacher use.
- Sharing files with colleagues, staff, contractors, families outside your assigned learners, or the public.
- Uploading resources to shared drives, public websites, marketplaces, social platforms, or searchable repositories.
- Professional development packets, commercial courses, curriculum bundles, or paid memberships.
4. Restrictions
You may not:
- Resell, redistribute, sublicense, rent, lend, transfer, publish, or give away Orchard Literacy files or substantial portions of them.
- Copy, extract, adapt, translate, or repackage the resources for sale, lead magnets, public downloads, commercial products, or competing resources.
- Remove copyright, trademark, attribution, watermark, license, or usage notices.
- Use Orchard Literacy resources, text, worksheets, graphics, product structure, or files to train, fine-tune, evaluate, or populate artificial intelligence models, datasets, resource generators, or automated content systems without written permission.
- Use the website or resources for unlawful, infringing, harmful, deceptive, abusive, spam, or security-compromising purposes.
5. Purchases, Pricing, Taxes, and Payment
Prices, product contents, bundles, discounts, and availability may change without notice. Unless checkout states otherwise, prices are listed in U.S. dollars. Sales tax, GST/HST, provincial taxes, state taxes, marketplace taxes, currency conversion fees, or similar charges may apply based on your location and payment method.
Payments are processed by third-party payment providers. We may refuse, cancel, or refund an order if we suspect fraud, payment failure, pricing error, unauthorized use, violation of these Terms, or other abuse.
6. Refunds and Download Issues
Because digital resources can be accessed immediately, all digital product sales are generally final once purchased or downloaded, except as required by law or as stated on a specific product page.
We will review reasonable requests involving duplicate purchases, failed file delivery, corrupted or inaccessible files, accidental unauthorized transactions, or a materially incorrect product description. If a technical problem prevents access to a purchased file, contact us so we can attempt to fix the issue.
Refunds are not guaranteed for buyer’s remorse, failure to read the product description, incompatibility with a preferred app or printer, or sharing/purchasing outside the license terms.
7. Freebies, Email Signup, and Promotions
Free resources, coupons, discounts, beta offers, and promotions may be changed, limited, or discontinued at any time. Joining an email list is not required to make a purchase unless a specific freebie delivery workflow requires an email address. Marketing emails can be unsubscribed from at any time.
8. Educational Use Disclaimer
Orchard Literacy resources are educational materials. They are not legal, medical, psychological, diagnostic, speech-language, special education, or professional intervention advice. We do not guarantee a specific reading, spelling, assessment, or academic outcome. Use your professional judgment and consult qualified professionals when a learner may need individualized evaluation or support.
9. Accessibility and Printing
We aim to create practical, printable resources, but we cannot guarantee that every file will meet every accessibility, device, software, printer, school, or platform requirement. If you need help accessing a file, contact us and we will review what support or alternative format may be reasonable.
10. Intellectual Property
The website, brand, product names, resource structure, worksheets, PDFs, text, graphics, logos, images, files, and other content are owned by Orchard Literacy or its licensors and are protected by copyright, trademark, and other laws. No rights are granted except the limited license expressly described in these Terms.
11. Reviews, Testimonials, and User Content
If you submit a review, testimonial, comment, suggestion, correction, image, or other content, you grant Orchard Literacy a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, publish, display, and distribute that content for website, support, product-improvement, and marketing purposes, subject to our Privacy Policy and applicable law.
You are responsible for content you submit. Do not submit confidential school records, identifiable student information, content you do not have permission to share, or anything unlawful, misleading, defamatory, infringing, or harmful.
12. Third-Party Services and Links
The website may use or link to third-party services, including payment processors, email providers, analytics tools, form tools, hosting providers, embedded content, or external websites. We are not responsible for third-party websites, policies, content, security, or services.
13. Availability and Changes
We may update, replace, correct, remove, suspend, or discontinue any website feature, resource, product, price, freebie, download link, or email workflow at any time. We may also correct mistakes, including pricing, product description, typographical, or technical errors.
14. Termination
We may suspend or terminate access to the website, accounts, downloads, email lists, or resources if we believe you violated these Terms, infringed intellectual property rights, abused support or checkout systems, shared files outside the license, or created security, legal, or operational risk.
15. Disclaimers
To the fullest extent permitted by law, the website and resources are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or error-free operation.
16. Limitation of Liability
To the fullest extent permitted by law, Orchard Literacy and its owners, team members, contractors, service providers, and licensors will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for loss of data, business, goodwill, or opportunity arising from or related to the website, resources, purchases, downloads, emails, or these Terms.
To the fullest extent permitted by law, Orchard Literacy’s total liability for any claim will not exceed the amount you paid to Orchard Literacy for the product or service giving rise to the claim in the 12 months before the event giving rise to liability. Some jurisdictions do not allow certain exclusions or limitations, so some terms may not apply to you.
17. Indemnification
You agree to defend, indemnify, and hold harmless Orchard Literacy and its owners, team members, contractors, service providers, and licensors from claims, damages, liabilities, costs, and expenses arising from your misuse of the website or resources, violation of these Terms, infringement of rights, unlawful conduct, or unauthorized sharing or distribution of resources.
18. Governing Law and Disputes
To the fullest extent permitted by law, these Terms are governed by the laws applicable to Orchard Literacy’s principal place of business, without regard to conflict-of-law rules. Mandatory consumer protection rights in your state, province, territory, or country continue to apply where they cannot legally be waived.
Before filing a claim, you agree to contact us and try to resolve the issue informally. Any dispute must be brought individually and not as a class, collective, consolidated, or representative action, except where applicable law does not allow that restriction.
19. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date above shows when they were last revised. Continued use of the website or resources after updated Terms are posted means you accept the updated Terms.
